Igor V. Zyuzin

Chairman of the Board of Directors

Igor V. Zyuzin Igor V. Zyuzin is the Chairman of our Board of Directors. He returned to this position on July,2010. Before, Mr. Zyuzin was Mechel OAO's CEO and Director from December 2006. Since March 2003, when Mechel was organized. Mr. Zyuzin served as the Chairman of the Board of Directors. He served as the Chairman of the Board of Directors of Southern Kuzbass Coal Company, a position Mr. Zyuzin has held since May 1999. From 1997 to 1999, Mr. Zyuzin was the Chairman of the Board of Directors of Mezhdurechensk Coal Company, which was merged into Southern Kuzbass Coal Company, and a member of the Board of Directors of Kuzbass Central Processing Plant. Mr. Zyuzin holds a doctorate in coal mining and is also a certified coal mining engineering economist.


Valentin V. Proskurnya

Independent director

Valentin V. Proskurnya Valentin V. Proskurnya is our Independent Director. He took this position in July 2009. From March 2003  to July 2009 he was Mechel OAO's Board of Directors Chairman. From 2004 to April of 2005, Mr. Proskurnya was a member of the Board of Directors of Magnitogorsk Metallurgical Plant. From January 2001 to March 2002, Mr. Proskurnya served as General Director of Mechel Trading House. From 1998 to 2001, Mr. Proskurnya served as the First Deputy Director of Southern Kuzbass Coal Company, in charge of economic and financial analysis. Mr. Proskurnya has over 37 years of engineering, financial and management experience in the coal mining industry and holds a degree in labor economics from the Higher School of Trade Unions. Mr. Proskurnya has been decorated with all three grades of the “Miner’s Glory” order by the Russian government. In addition, in 1996, the Russian government awarded him the title of Honorable Economist of the Russian Federation.


Roger I. Gale

Independent director

Roger I. Gale Roger I. Gale is a member of the Board of Directors since October 2004. Currently Mr Gale is Chairman of the Board of Directors and Chief Executive Officer of Calypte Biomedical Corporation, a US publicly listed company headquartered near Portland, Oregon. From 2002 to mid 2006 Mr Gale was Chairman of the Board of Directors and Chief Executive Officer of Wavecrest Group Enterprises Limited, a communications services provider. From 1999 to 2001 he was Chairman of the Board of Directors and Co-Founder of End2End Wireless Limited, a wireless communications services provider. From 1996 to 1998 Mr Gale was Chief Executive Officer of AIG-Brunswick Capital Management, a US$300 million, and OPIC- sponsored, Russia investment fund. From 1988 to 1995 worked at the International Finance Corporation (IFC), including as Chief of the IFC’s Resident Mission in Russia from 1991 to 1995. Mr Gale was 9 years with the Asian Development Bank (ADB) and taught economics at the University of New England (Australia) and Lincoln College (New Zealand). Mr Gale holds a Diploma from The Royal Agricultural College and a Master of Economics degree from the University of New England.


A. David Johnson

Independent director

Arthur Johnson A. David Johnson has been a member of our Board of Directors since October 2004. Mr. Johnson is currently Chairman of the Board of Directors of Joy Mining Machinery UK Ltd., a leading global supplier of underground mining systems and services, a position he has held since 2002. From 1990 to 2002, Mr. Johnson was Managing Director of Joy Mining Machinery UK Ltd. From 1986 to 1990, Mr. Johnson was the Managing Director of Dosco Overseas Engineering, a UK-based mining equipment manufacturer, where he began as a mining engineer in 1960. He also worked at the UK National Coal Board from 1953 to 1960. Mr. Johnson is Joy Mining Machinery’s representative on both the Coal Industry Advisory Board and the World Coal Institute. From 1990 to 1992, he served as President of the Association of British Mining Equipment Companies. In 1998, he was awarded the Order of Friendship by the Russian government for services to the Russian coal industry. Mr. Johnson is a qualified mining engineer having obtained the Mining Qualifications Board Certificate of the UK in 1958. 


Vladimir A. Polin

Director

Vladimir A. Polin Vladimir A. Polin has been a member of our Board of Directors since June 2007. He served as our Senior Vice President and First Deputy Chairman of our Management Board from December 2008 to July 2010. From June 2006 to December 2008 Mr. Polin served as Chief Executive Officer of Mechel-Steel Management. From July 2003 to June 2006, he was our Senior Vice President for Production and Technical Policy. From February 2002 until June 2003, Mr. Polin served as the First Deputy General Director of our Beloretsk Metallurgical Plant. From September 2001 until July 2002, Mr. Polin served as Head of Sales of our Chelyabinsk Metallurgical Plant. Mr. Polin has almost 26 years of operational and management experience in the manufacturing and marketing of steel products, and holds a degree in metallurgy from Chelyabinsk Polytechnic University. Mr. Polin beneficially owns 0.002% of our common shares.


Serafim V. Kolpakov

Independent director

Serafim V. Kolpakov Serafim V. Kolpakov has been a member of our Board of Directors since June 2004. From 1992 Mr. Kolpakov also serves as President of the International Union of Metallurgists, a steel industry-focused research organization. From 1991 to 1992, he was Vice President of the Advanced Materials Association in Moscow, a public consulting and research organization. From 1985 to 1991, Mr. Kolpakov was Minister of Metallurgy of the USSR and, from 1978 to 1985, First Deputy Minister and Deputy Minister of Metallurgy of the USSR. From 1970 to 1978, he was the General Director of Novolipetsk Iron and Steel Works. Mr. Kolpakov graduated from the Moscow Institute of Steel and Alloys with an engineering degree and is a Doctor of Technical Sciences. He is a member of the International Engineering Academy, the Engineering Academy of Russia (holding the position of Vice President) and the Presidium of Academy of Information Technologies and Processes. Mr. Kolpakov has invented more than 400 steel-making technology improvements, and authored over 500 scientific publications. He has received a number of government awards, including the State Prize of the USSR in 1981 and 1985, the Prize of the Council of Ministers of the USSR (twice) and the title of Honorable Metallurgist of the Russian Federation and Czechoslovakia.


Igor S. Kozhukhovskiy

Independent director

Igor S. Kozhukhovskiy Igor S. Kozhukhovskiy has been a member of our Board of Directors since June 2008. He was Head of the Economic Policy Department at OAO RAO “UES of Russia” from 1999 to July 1, 2000. He serves as General Director of the Energy Forecasting Agency (EFA) since 2005. Mr. Kozhukhovskiy is a member of the Board of Directors of ATS OAO (Trade System Administrator) and a member of the Supervisory Boards of Non-Commercial Partnership “Innovations in Electric Power Industry” (NP “INVEL”) and the All-Russian Branch-Wise Association of the Electric Power Industry Employers. Mr. Kozhukhovskiy graduated from the Siberian Metallurgical Institute with a degree of engineer in automation of metallurgical production in 1978. In 1985, he obtained a degree of mining electrical engineer from the same institute. After that, he worked at the Kuznetsk Metallurgical Plant named after Lenin and Abashevskaya Mine of Southern Kuzbass Coal Production Association as underground miner, electrical fitter, mechanic, and section foreman. From 1993 to 1997, Mr. Kozhukhovskiy served in the Russian Federation Ministry of Economy being a member of the Interdepartmental Committee for Social and Economic Problems of Coal Mining Regions. In 1991, he organized and became the Head of the Social Guarantees Fund and served as Head of the Kemerovo Region’s Representation to the Russian Federation Government. In 1997-1999, he served as Deputy Fuel and Power Minister of the Russian Federation. Igor Kozhukhovskiy holds a doctorate in economics and is the author of a monograph and over twenty articles on various issues of economic policy in coal and electric power industries.


Vladimir V. Gusev

Independent director

Vladimir V. Gusev Vladimir V. Gusev is a Independent director of the Board of Directors of the Company from July 2009. In 2008 Mr. Gusev held the position of Vice President for Finance of the State Corporation “Olympstroy”. He was Deputy Head of the Federal Tax Service of the Russian Federation in 2005-2008. He was First Deputy Minister of Taxes and Levies of the Russian Federation in 1999-2005. Mr. Gusev graduated from Saint-Petersburg State University in 1969 with major in law; he is Associate Professor and holds Ph.D. degree in economics. He was awarded with several national awards and, under Decree of the President of the Russian Federation in 2000, with the Honored Economist of the Russian Federation title. Mr. Gusev is the author of more than 30 scientific papers and publications.


Alexander E. Yevtushenko

Independent director

Alexander E. Yevtushenko Alexander E. Yevtushenko has been a member of our Board of Directors since June 2004. He served as the Chairman of the Board of Directors of Mechel OAO from 2009 to 2010. From 2001 to 2004, Mr. Yevtushenko served as First Vice President of Sokolovskaya OAO, a holding company for a group of Russian coal mining and engineering enterprises. From 1999 to 2000, he was President of the General Committee of the Inter-State Eurasian Association of Coal and Metals. From 1991 to 1999, Mr. Yevtushenko was First Deputy Fuels and Energy Minister of the Russian Federation. From 1973 to 1991, he worked in various positions, including as General Director of the Raspadskaya Mine in the Kuzbass region, the Soviet Union’s largest coal mine. Mr. Yevtushenko graduated from the Siberian Metallurgical Institute with a degree in mining engineering. He has a doctorate in engineering and is a member of the Academy of Mining Sciences of Russia. Mr. Yevtushenko is the author of more than 50 scientific publications, including Mineral Resources of the Coal Industry of Russia, a study for which he was awarded the Science and Technology Prize by the Russian government in 2002. He has received a number of governmental awards, including the title of Honorable Miner of the Russian Federation in 1997.
